STANDARD TERMS AND CONDITIONS OF QUOTATION AND SALE
1) ACCEPTANCE OF ORDERS AND TERMS.
An order and the payment terms to purchase shall be subject to writtenconfi rmation and acceptance by C2 Defense Inc. The term “acceptance” as used herein shall include acceptance by C2Defense Confi rmation email, form or letter signed by an authorized representative.
2) ERRORS AND CONFLICTS.
Clerical errors such as typographical errors or the unintentional addition or omission of aword, phrase, or fi gure in writing are subject to correction. In the event of confl ict between the unit prices andextended quantity prices, unit prices shall govern.
3) CHANGE ORDERS, OR AMENDMENTS.
Buyer-proposed changes or amendments of any order or contract shall besubject to written acceptance by an authorized representative of C2 Defense. However, changes shall not be bindingunless (1) agreement is reached regarding the effects of the change, (2) agreement as to reasonable charges resultingtherefrom is attained, and(3)written modifi cation of the contract is executed.
4) ORDER CANCELLATIONS.
Buyer agrees that the purchase order is non-cancellable and non-returnable (“NCNR”).Buyer agrees to purchase the quantities listed on the order. Buyer also agrees that all purchases are fi nal, and Seller hasno obligation to accept the return of any of the part numbers on the order with the sole exception Workmanship issueswith the product within12months of shipment of the product.
5) PRICES.
Published prices are subject to change without notice. Prices quoted are in United States dollars, F.O.B.factory, unless otherwise agreed upon. The prices stated herein do not include Federal Excise Taxes unless specifi callynoted, and do not include any Federal, State or local taxes based upon or measured by sales or use. Any such taxes ineffect at the time of shipment will be billed separately and will be due and payable within thirty (30) days of shipment,unless properly executed Tax Exemption Certifi cates are furnished to C2 Defense. Taxes from which a sale is exempthave not been included but Buyer, if located in the United States of America, must furnish proof of exportation, taxexemption certifi cate or other documents suffi cient to support its claim of exemption from tax. Buyer’s failure in thisregard shall render Buyer liable to reimburse C2 Defense for any such tax paid.
6) TERMS OF PAYMENT FOR DOMESTIC BUYER:
All invoices are payable within thirty (30)days after shipping date ordate of services rendered, unless different terms are specifi ed by C2 Defense on the quote, order, or invoice. In all cases,if shipment is delayed by Buyer, payment shall be come due, at C2 Defense option, from the date on which C2 Defenseis prepared to make shipment. If inC2 Defense judgment, the fi nancial condition of the Buyer does not justifycontinuation of production or shipment on the terms of payment specifi ed, C2 Defense may cancel any unfi lled ordersor part thereof unless Buyer shall, upon notice, pay for all merchandise delivered or services rendered.
7) TERMS OF PAYMENT FOR FOREIGN BUYER:
All invoices are payable on date of order(prepaid)for both products orservices, unless different terms are specifi ed by C2 Defense on the quote, order, or invoice. Buyer shall pay order by aUnited States bank in United States currency.
8) SHIPMENT, EXPORT CONTROL AND PASSAGE OF TITLE.
All domestic shipments will be made F.O.B. Shipping Point.As an accommodation when specifi cally requested by the Buyer, C2 Defense will prepay transportation charges, whichwill be invoiced separately. In the absence of specifi c instructions, the method of shipment will be determined by C2Defense. Unless directed otherwise by the Buyer, full invoice value will be declared for deliveries by railway express, airexpress, and air freight, and minimum insurance will be provided on parcel post shipments. No insurance will beprovided by C2 Defense on rail freight or motor freight shipments. In all cases, C2 Defense responsibility (except asstated in the warranty) ceases, and, except in the case of conditional or C.O.D. sales, title shall pass upon delivery of thematerial to the carrier.
9) EXPORT SHIPMENTS:
Buyer is responsible for providing inland transportation and insurance to point of exportshipment, for obtaining consular invoices or other special documentation(if necessary), ocean freight or air transportspace, and marine insurance including standard warehouse-to-warehouse coverage. However, C2 Defense will, unlessotherwise requested, arrange for such services with all expenses so incurred, including freight forwarder’s charges, forBuyer’s account, but in so doing C2 Defense acts as Buyer’s agent without liability. In this capacity, C2 Defense will,upon request and receipt from Buyer of all necessary information and documents, apply for any required exportlicense. Buyer’s obligation to pay for material ordered shall survive any delay in the issuance or renewal of any suchlicense; however, upon revocation of, or failure to obtain such license within a reasonable period of time, Buyer maycancel this order upon payment of reasonable cancellation charges established by C2 Defense. Buyer furthermoreundertakes, with respect to any resale or other disposition of merchandise ordered from C2 Defense hereunder tocomply fully with the export control regulations of the United States Government, as amended from time to time,Buyer shall comply with all regulations of country of destination.
10) PACKING AND TESTS.
C2 Defense will provide domestic packing at the listed price, unless otherwise requested byBuyer. C2 Defense shall have the right to supply special packing if it deems it necessary. Special packing, and any testsor inspection other than those normally provided by C2 Defense, will be charged to Buyer’s account, and C2 Defenseshall be considered to be acting as Buyer’s agent without liability.
11) DELAYS AND FORCE MAJEURE.
While C2 Defense will exercise every reasonable care to meet the expected shipmentdate or dates shown on the order confi rmation, C2 Defense shall not incur any liability (consequential or other) for lossor damage due to delays or failure to deliver resulting from any cause beyond its reasonable control. Such causesinclude (without limiting the generality) acts of God or the public enemy; laws, regulations and actions of the
government of the United States, any state or territory of the United States or their political subdivisions, or the Districtof Columbia; acts, omissions or failure to act of the Buyer, its agents or employees; fi res; strikes; fl oods; unusually severeweather conditions; disputes with workmen; embargoes, wars, riots or civil disturbances; epidemics, quarantinerestrictions; delays or shortages of transportation; severe accidents at our plant; production or engineering delays orinability of C2 Defense or its vendors to secure adequate materials, manufacturing facilities or labor on schedule. Anysuch cause shall extend delivery dates to the extent of the delay so incurred. C2 Defense reserves the right to allocateits inventories and current production without liability as it sees fi t when, in the opinion of C2 Defense, Governmentregulations, or other causes, make such action necessary.
12) DELIVERY.
C2 Defense delivery quotation represents an estimate on the basis of current schedules and information.In the event of delay in shipment due to Buyer or to any cause referred under the caption “Delays or Force Majeure”, atany point beyond that at which title passes to Buyer, C2 Defense may, at its option, deliver merchandise to storage forBuyer’s account and risk and, upon payment by Buyer of all amounts due at the time shipment can be made,including demurrage, storage charges, insurance if any, and all other costs incurred by C2 Defense as a result of suchstorage, C2 Defense shall make the merchandise available at the point of storage.
13) WARRANTY AND EXCLUSION OF WARRANTY.
The warranties stated herein are in lieu of all other warranties, expressor implied, and of all other obligations or liabilities on the part of C2 Defense, and C2 Defense neither assumes norauthorizes any other person to assume for it any other liability. Buyer expressly waives any right, claim or cause ofaction that might otherwise arise out of purchase or use of C2 Defense products or service. No product is warranted tobe fit for any particular use or application. C2 Defense warrants its products to be merchant able and to be free fromdefects caused by faulty material or poor workmanship. C2 Defense liability under this warranty is limited to theobligation to repair, or, at its sole option, to credit Buyer’s account with purchase price of, or to replace without chargeFOB factory and part of, any such product found to be defective under normal use and service within the period oftime applicable to the particular product provided: (a) C2 Defense is promptly notifi ed in writing upon the discovery ofany defects (b) Buyer follows C2 Defense ’s instructions and applicable procedures as to the disposition or return of theproducts to C2 Defense, an authorized and designated C2 Defense licensee or service organization, (c) Buyer assumespayment of all transportation charges,(d) C2 Defense examination shall disclose to its satisfaction that defects were notcaused during delivery, or after delivery, by misuse, abuse, neglect, accident or adjustments other than those specifi edin the C2 Defense Operating and Maintenance Manual. (e) Products were not purchased under terms granted in lieu ofwarranty. Products not manufactured by C2 Defense carry the same warranty which C2 Defense receives from themanufacturer of the product and no other warranty. All ordered replacement parts or parts replaced during thewarranty period assume the unexpired portion of the original parts warranty. After expiration of the original warrantyperiod, ordered replacement parts manufactured by C2 Defense are warranted for ninety (90) days from shipment.
14) PATENTS.
Where the goods purchased on Purchaser’s order are for standard commercialitems,C2 Defense agrees (1)to assume the defense of any suit brought against Purchaser for infringement of United States Letters Patent arisingsolely from the use and/or sale of said specifi c goods, (2) to defray the expense of such defense, and (3) to indemnifyPurchaser against any money damages and/or costs awarded in such suit; provided (1) that C2 Defense be givenexclusive control of the defense of such suit and all negotiation relative the settlement thereof, (2)that the liabilityclaimed shall have arisen solely because of C2 Defense selection as to the design, composition or manufacture of saidgoods, and (3) that Purchaser promptly informs C2 Defense in writing of any claim with respect to which C2 Defenseassumes responsibility hereunder. The foregoing states the entire liability of C2 Defense for patent infringement by saidgoods or any part thereof.
15) SPECIAL OR CONSEQUENTIAL DAMAGES.
C2 Defense shall not be liable for special or consequential damages of anynature with respect to any merchandise sold or delivered, any service rendered or any failure to meet deliveryschedules.
16) ASSIGNMENT.
No assignment by Buyer of any contract or order for merchandise or services covered by thisagreement shall be binding on C2 Defense without C2 Defense written consent.
17) APPLICABLE LAWS.
Any contract or sale made pursuant to these terms shall be governed by the laws of the State ofGeorgia, United States of America. AMENDMENTS OF THESE TERMS. These terms are subject to change without noticeuntil Buyer’s order has been accepted by C2 Defense.
